Terms of Service

By accessing or using AskERP's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

AskERP provides an AI-powered financial intelligence platform that enables natural language queries to ERP systems. Our Services include:

• Natural language query processing for financial data
• Integration with supported ERP systems (including Viewpoint Vista, Acumatica, and other SQL-accessible systems)
• Data visualization and reporting tools
• User management and access controls
• API access for authorized integrations

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

To access our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity of our Services
• Use our Services to transmit malicious code or conduct cyberattacks
• Reverse engineer, decompile, or attempt to extract source code from our Services
• Use our Services to process data you are not authorized to access
• Resell or redistribute our Services without authorization

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key data principles:

• Read-Only Access: AskERP only requires SELECT permissions on your database. We do not have the ability to modify, insert, or delete your data.
• Data Ownership: You retain all rights to your data. AskERP does not claim ownership of any data processed through our Services.
• Data Processing: Query results are processed in memory and are not stored beyond your session unless explicitly saved by you.
• Security: We maintain SOC 2 Type II certification and implement industry-standard security measures.

Paid subscriptions are billed according to the pricing plan selected. By subscribing, you agree to:

• Pay all fees as they become due
• Provide accurate billing information
• Authorize us to charge your payment method on a recurring basis

Subscription fees are non-refundable except as required by law or as stated in our refund policy. We may modify our pricing with 30 days' notice.

All intellectual property rights in our Services, including software, documentation, trademarks, and content, belong to AskERP or our licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes.

You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

We provide our Services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or completeness of query results

You acknowledge that AI-generated queries may produce inaccurate results and should be verified before use in financial reporting or decision-making.

To the maximum extent permitted by law, AskERP shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on query results

Our total liability for any claim arising from these Terms or our Services shall not exceed the greater of (a) the fees you paid in the 12 months preceding the claim or (b) $100.

You agree to indemnify, defend, and hold harmless AskERP and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any data you submit or process through our Services

Either party may terminate this agreement:

• For convenience: With 30 days' written notice
• For cause: Immediately if the other party materially breaches these Terms and fails to cure within 14 days of notice

Upon termination, your right to access our Services will immediately cease. We will provide a reasonable period for you to export your data.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas.

You waive any right to participate in class action lawsuits or class-wide arbitration.

We may modify these Terms at any time. We will provide notice of material changes through our Services or by email. Your continued use of our Services after such notice constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must discontinue use of our Services.

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and AskERP.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
